Branch registration in Turkmenistan
A branch lets the company you already have trade in Turkmenistan under its own name, with no local shareholder and no charter capital. Sovera prepares the file, registers the branch and keeps its books from Ashgabat.
At a glance
Register a branch of a foreign company
To register a branch in Turkmenistan, the parent company files with the Tax Department of the Ministry of Finance and Economy, which registers the branch after a state agency and an interdepartmental commission have reviewed the file. A branch is 100% foreign owned, needs no charter capital, may trade, pays 20% profit tax and is registered for three years.
- 100%foreign owned, with no local shareholder
- TMT 8,000state registration fee, about USD 2,290
- 3 yearsregistration term, then extended
- 20%profit tax on what the branch earns, then 15% on profit sent to the parent company
- A branch is not a separate legal entity. It is part of the parent company, which answers for its debts. Its head acts under a power of attorney from the parent company.
- Most foreign companies that enter Turkmenistan choose a branch. If you want a company with a local shareholder, see the four structures compared.
- Sources: the Civil Code (article 56), the Law on Enterprises and the Law on Foreign Investment. Checked on 9 October 2026.
Step by step
How to register a branch in Turkmenistan
Six steps from the parent company’s decision to a working bank account. We prepare and file every document.

The six steps
- 1
Decide and appoint
The parent company resolves to open the branch, approves its regulations and appoints its head, who acts under a power of attorney.
- 2
Legalise and translate
The parent company’s charter, its trade register extract and a bank reference are legalised at a Turkmen consulate or the Ministry of Foreign Affairs, unless a treaty with your country says otherwise, and translated. Turkmenistan is not a party to the Apostille Convention.
- 3
Confirm the legal address
The branch needs an address in Turkmenistan, confirmed by the city administration (hakimlik). We provide one in Ashgabat.
- 4
File and pass the review
We file with the Tax Department of the Ministry of Finance and Economy. A state agency reviews the parent company for up to 30 days, then an interdepartmental commission decides within 14 days.
- 5
Enter the register
After approval the branch is entered in the Unified State Register of Legal Entities. It then registers with the statistics office, applies for tax registration within 10 days and registers with the Pension Fund.
- 6
Seal, bank and trade certificate
The seal is made, the bank account is opened and the certificate for foreign trade is issued. The bank decides on the account. See our guide to opening a company bank account in Turkmenistan.

Applications refused by the commission, 2017 to 2021
The review is not a formality. From 2017 to 2021 the commission refused 77 of the 117 registration applications that non-residents filed, according to the Eurasian Group’s 2023 mutual evaluation report. The reasons given were negative information about the applicant, the risk of questionable schemes and failure to provide all the information requested. We check the parent company’s papers before filing.
- Refused: 77
- Not refused: 40
Turkmenistan is absent from the Apostille Convention status table, so an apostille alone is not enough.
Compare
Branch, representative office or LLC
A branch and a representative office both belong to the parent company. An LLC is a separate Turkmen company and, in registration practice, needs a Turkmen shareholder with at least 1%.
| Branch | Representative office | LLC with a local shareholder | |
|---|---|---|---|
| Ownership | 100% foreign. No local shareholder | 100% foreign. No local shareholder | Up to 99% foreign. In registration practice a Turkmen shareholder holds at least 1% |
| Legal status | Part of the parent company | Part of the parent company | Its own legal entity |
| May trade | Yes | No | Yes |
| Charter capital | None | None | From TMT 5,000 |
| Profit tax | 20%. Then 15% on profit sent to the parent company | None while it earns no income | 8% in most cases. Then 15% on dividends paid abroad |
| Who answers for debts | The parent company | The parent company | The company, up to its assets |
| Best for | Contracts, projects and full control | Market entry before a contract | A lasting local business with a partner |
Branch or LLC in Turkmenistan: what is the difference? A branch is 100% yours and pays 20% profit tax. An LLC pays 8%, then 15% on dividends paid abroad. Under article 180 of the Tax Code, branch profit distributed to a foreign legal entity may be taxed at 15%, unless a tax treaty treats it as a dividend. In our experience this tax is charged when a branch sends profit to its parent company. Paid out to a foreign owner, a branch in Ashgabat gives up about 36% of profit and a company about 26%. A branch costs more in tax. What it buys is full ownership and control.

Representative office registration in Turkmenistan
A representative office is registered in the same way as a branch, with the same documents, the same state fee and the same three-year term. The difference is what it may do.
Ashgabat- 01
What it may do
Represent the parent company, protect its interests, study the market, meet partners and state bodies, and sign contracts in the parent company’s name (Civil Code, article 56).
- 02
What it may not do
Do business of its own. It may not sell, invoice or earn income in Turkmenistan. If it does, it is taxed as a branch would be.
- 03
When to choose it
When you need a presence and staff in Ashgabat before there is a contract. Once you start to trade, you register a branch or a company.
- Neither a branch nor a representative office is a legal entity (Civil Code, article 56).
- A representative office with employees still runs payroll and files reports, even with no income.
- Foreign staff of either need a visa and a work permit. See work permits and visas in Turkmenistan. A visitor comes on a letter of invitation: see the business visa and invitation letter guide.

Keep books in Turkmen
Accounts follow Turkmenistan’s national standards and records are kept in Turkmen. Our accountant in Ashgabat keeps them.
- 02
File VAT every month
VAT is 15%, with a return every month. The dates are in the Turkmenistan tax guide.
- 03
File profit tax every quarter
A branch pays 20% on the profit it earns in Turkmenistan, with a return and financial statements each quarter.
- 04
Have the accounts audited
Every branch of a foreign company must be audited each year by a licensed Turkmen audit firm. See who must be audited.

Run payroll and permits
The employer withholds 10% income tax and pays 20% pension insurance on local salaries. Foreign staff may not exceed 10% of all employees, the State Migration Service states. See payroll services in Turkmenistan.

Questions
Questions about branch registration
Short answers to what parent companies ask us before they file.
Ask us something elseHow do I register a branch of a foreign company in Turkmenistan?
The parent company resolves to open the branch, approves its regulations and appoints its head. Its charter, trade register extract and bank reference are legalised and translated, and a legal address is confirmed in Turkmenistan. The file goes to the Tax Department of the Ministry of Finance and Economy, a state agency and an interdepartmental commission review the parent company, and after approval the branch is entered in the state register. It then registers with the statistics office, for tax and with the Pension Fund. Sovera prepares and files every document.
What documents are required to register a branch in Turkmenistan?
An application, the parent company’s decision to open the branch and appoint its head, the regulations of the branch, the parent company’s charter and trade register extract, a bank reference letter, a power of attorney and passport copy for the head, confirmation of the legal address and the receipt for the state fee. Turkmenistan is not a party to the Apostille Convention, so foreign documents are legalised at a Turkmen consulate or the Ministry of Foreign Affairs, unless a treaty with your country says otherwise, and translated into Turkmen or Russian.
How much does it cost to register a branch in Turkmenistan?
Branch registration in Turkmenistan costs USD 7,500 with Sovera. A representative office costs from USD 5,500. The state charges TMT 8,000 for registration and TMT 1,800 for the certificate that allows foreign trade, about USD 2,800 together at the official rate. We charge state fees, legalisation, translation and courier at cost, on top of our fee. You get our fee as one fixed price in writing before work starts.
How long does branch registration take in Turkmenistan?
6 to 9 months from complete documents. The registration decision itself takes three working days, but the parent company is reviewed first: up to 30 days at a state agency and 14 days at the interdepartmental commission. Those are the official periods, and registration takes longer in practice. Allow extra time to legalise documents and to open the bank account.
Can a branch in Turkmenistan be 100% foreign owned?
Yes. A branch has no shareholders of its own. It is part of the foreign parent company, so no local shareholder or partner is involved. That is the main reason foreign companies choose a branch over a company in Turkmenistan.
Does a branch need charter capital or a local director?
Neither. A branch needs no charter capital, because the parent company provides its property. The head of the branch is appointed by the parent company and may be a foreign national. A foreign head who is employed in Turkmenistan needs a visa and a work permit.
What is the difference between a branch and a representative office in Turkmenistan?
Neither is a separate legal entity, and both are registered in the same way, for three years at a time. A branch may trade, sign contracts and earn income, and pays 20% profit tax. A representative office represents the parent company and protects its interests, but may not do business of its own.
Branch or LLC in Turkmenistan: which should I choose?
A branch is part of your existing company. It is 100% yours, needs no charter capital and pays 20% profit tax, and the parent company answers for its debts. In our experience it also pays 15% on profit it sends to its parent company (Tax Code, article 180). An LLC is a separate Turkmen company, and in registration practice it needs a Turkmen shareholder with at least 1%. It pays 8% profit tax, then 15% on dividends paid abroad. A contractor on a project usually chooses a branch. A lasting local business with a partner suits a company.
What tax does a branch pay in Turkmenistan?
A branch pays 20% profit tax on what it earns in Turkmenistan and 15% VAT, and as an employer it withholds 10% income tax and pays 20% pension insurance on local salaries. In our experience it also pays 15% on profit it sends to its parent company (Tax Code, article 180). The charges on profit and the filing dates are in the Turkmenistan tax guide.
Does a branch registration in Turkmenistan expire?
Yes. A branch or representative office of a foreign company is registered for three years at a time. The registration is then extended on application. The state fee for an extension is TMT 6,000.
